Corporate compliance — frequently asked questions
What are the mandatory annual filings for a Private Limited Company?
Primarily AOC-4 (financial statements) and MGT-7/7A (annual return) with the ROC, plus DIR-3 KYC for every director, and income-tax return. There are also board and AGM requirements. We handle the entire set on a calendar so nothing is missed.
What happens if I don’t file ROC returns on time?
Late filing attracts additional government fees that increase with delay, and prolonged default can lead to director disqualification and the company being struck off the register. We can also revive companies and regularise past defaults.
What is DIR-3 KYC and who must file it?
It is an annual KYC that every person holding a Director Identification Number (DIN) must file. Missing it deactivates the DIN and blocks the director from filing anything until it is restored with a penalty. We track and file it for all your directors.
How do I add or remove a director?
It requires a board/shareholder resolution and filing Form DIR-12 (with DIR-2/consent or resignation) within the prescribed time. We prepare the resolutions and minutes and complete the MCA filing correctly.
Can you regularise a company that missed several years of filings?
Yes. We assess the pending filings and penalties, file the overdue returns, and where a company was struck off we can pursue restoration through the NCLT. We make defaulting companies clean and compliant again.
Do LLPs have compliance too?
Yes. LLPs must file Form 11 (annual return) and Form 8 (statement of accounts and solvency) every year, regardless of turnover or activity. Many LLP owners assume there’s nothing to file and accumulate penalties — we keep them compliant.
